<p>- Assists with updating docketing department with action items and remarks/notes provided by of senior paralegals, legal analysts or attorneys.</p>
<p>- Initiate new US patent filings, including responses to office actions. Ensure that all filings are prepared before due date for review and signature.</p>
<p>- Coordinate details between engineers, marketing and legal department personnel, such as obtaining prior art and bar date information for patent filings, or specimens and drawings for trademark or mask work filings.</p>
<p>- Preparation of any and all documents required for intellectual property prosecution matters (patent, trademark and copyright/mask work) including applications, assignments, amendments, powers of attorney, issue fees, renewals etc.</p>

			<content:encoded><![CDATA[<p>The primary purpose of this position is to support the company’s federal regulatory compliance efforts with particular focus on supporting the functions of the company’s Privacy Office.  Note: The individual in this position is not intended to practice law or provide legal advice.</p>
<p>Responsibilities include:</p>
<p>•         Supports Regulatory and Program Compliance Department activities by focusing on the following key accountabilities under the supervision of the Manager, Privacy and Regulatory Compliance and the Associate Vice President, Regulatory and Program Compliance</p>
<p>•         Record, process and manage requests received by the Privacy Office in relation to HIPAA and state privacy rights.  This includes, but is not limited to:  1) validating requests for releases of protected health information and authorizations for personal representatives, 2) responding to accounting, amendment and restriction requests, 3) coordinating such efforts among multiple internal departments, 4) evaluating business associate contracts and tracking external client expectations and 5) maintaining documentation of actions taken for reporting purposes.</p>
<p>•         Record and process subpoenas requesting information from the company.  Report non-routine requests to the Manager, Privacy and Regulatory Compliance.</p>
<p>•         Investigate and document reports of unauthorized disclosures of protected health information.  Keep Manager, Privacy and Regulatory Compliance and Associate Vice President, Regulatory and Program Compliance informed of issues reported from privacy office email accounts.</p>
<p>•         Communicates and coordinates externally with regulatory authorities and external clients as directed by the Manager, Privacy and Regulatory Compliance and Associate Vice President, Regulatory and Program Compliance, to understand compliance expectations including, but not limited to, successfully negotiating with such authorities to achieve interpretations of regulatory requirements, consulting with supervisor on an ad-hoc basis regarding outcome of such communication.  Educates external contacts regarding unique aspects of ASH’s business practices.</p>
<p>•         Communicates and coordinates internally with various departments to understand rationale of operations and to communicate regulatory enforcement expectations of such operations including recommending courses of action, interpreting and translating enforcement expectations to current business practices.  Communicates effectively with internal departments to obtain necessary information for regulatory filings based on the needs of each regulatory agency, in part by educating internal contacts on the unique regulatory environments in assigned states.  Consults with supervisors on an as needed basis to resolve any issues.</p>
<p>•         Serves as a subject matter expert on regulatory compliance topics (primarily privacy and other federal issues as needed) relevant to ASH business in a constantly evolving regulatory environment that can impact various products.</p>
<p>•         Under minimal supervision, works to research, communicate and coordinate regulatory compliance issues across multiple disciplines and levels of workforce (i.e. communicates well with staff ranging from entry level to senior executive level personnel).</p>
<p>•         Under minimal supervision, completes detailed analysis of federal legislative and regulatory issues in a timely manner as directed by the Manager, Privacy and Regulatory Compliance and Associate Vice President, Regulatory and Program Compliance  and Sr. Manager, Corporate Affairs., assess and determine impact of regulatory changes on business operations, consulting with supervisor on an ad-hoc basis to resolve any high level regulatory compliance issues.  Effectively communicates such regulatory changes to organization through written communication and oral presentation to senior management staff. Works with senior management staff to ensure proposed compliance measures will meet enforcement expectations.  On an ad-hoc basis, completes regulatory research projects across multiple disciplines and states.</p>
<p>•         Under minimal supervision, performs detailed research, analysis and summarization of regulatory compliance issues.  Recommends courses of actions regarding regulatory compliance issues and presents recommendations to Management and/or Senior Management.  Resolves ad-hoc compliance issues.  Consults with supervisor on an as needed basis to resolve complex regulatory compliance issues.</p>
<p>•         Supports the company’s overall activities by focusing on the following:</p>
<p>•         Provides Management with periodic regulatory status updates regarding individual assignments. </p>
<p>•         Informs Management of urgent issues.</p>
<p>•         Assists Management with the training of staff on ASH policies and procedures, department goals and regulatory compliance issues.    </p>
<p>•         Represents the company in an ethical, professional, and positive manner</p>
<p>•         Maintains confidentiality of all company information and uses discretion in discussing regulatory compliance issues with internal contacts.</p>
<p>•         Maintains computer and system skills necessary to perform job functions.</p>
<p>•         Photocopies, files, scans and faxes as needed to support job responsibilities.</p>
<p>•         Follows department administrative guidelines including, but not limited to, guidelines regarding project tracking and record keeping practices.</p>
<p>•         Performs all related duties, as assigned. </p>
<p>Education/Training/Experience/Licenses</p>
<p>•         Bachelor’s degree in English, History, Political Science or equivalent; Master’s in Health Care Administration, Paralegal or Legal degree preferred or equivalent experience.</p>
<p>•         2-4 years experience with regulatory compliance in a health care environment, with experience in regulatory compliance research, privacy regulations and federal regulatory issues preferred. </p>
<p>•         Experience with health insurance contracts and certificate forms and working with health plans and employer groups helpful.</p>
<p>Knowledge/Skills/Abilities:</p>
<p>•         Knowledge of federal laws and regulations such as HIPAA, GINA, Medicare Advantage, ERISA and/or Health Care Benefit Law preferred.</p>
<p>•         Excellent research skills.</p>
<p>•         Strong analytical and writing skills.</p>
<p>•         In-depth understanding of ASH systems, policies and procedures preferred. </p>
<p>•         Proficient in MS Word.</p>
<p>•         Ability to exercise strict confidentiality in all matters.</p>
<p>•         Demonstrated ability to interact in a positive, respectful manner and establish and maintain cooperative working relationships.</p>
<p>•         Demonstrated organizational skills.</p>

<p>The Paralegal should have a solid understanding of securities laws and rules and compliance policies and procedures.  The Paralegal will investigate, draft, and coordinate responses to inquiries received from regulators, interface with regulators and financial advisors during the course of regulatory inquiries and examinations, and work with the group’s attorneys.</p>
<p>Essential Functions:</p>
<p>Respond to regulatory inquiries.  This involves effectively communicating with various departments at the firm to collect the necessary information, analyzing the information thoroughly, reporting any findings or concerns to the regulatory group’s attorneys, researching relevant rules and regulations, and drafting the written response.</p>
<p>Serve as lead liaison for branch exams.  Assist financial advisors in preparing for regulatory exams, and support them throughout the exam process.  Interface with the regulators during branch exams, and provide requested information. </p>
<p>Keep abreast of, analyze, and understand regulatory requirements and compliance procedures. </p>
<p>Keep the regulatory team informed of issues that impact the organization.</p>
<p>Qualifications:</p>
<p>3 to 5 years of regulatory experience, which is defined as significant experience working in the brokerage or investment advisory industry and handling compliance issues</p>
<p>Paralegal certificate or 5 years of  relevant regulatory experience</p>
<p>Series 7 and 24 licenses preferred</p>
<p>Bachelor&#8217;s degree</p>
<p>Ability to properly interpret and analyze regulatory and compliance issues</p>
<p>Thorough understanding of brokerage and investment advisor operations and compliance processes</p>
<p>Good oral and written communication skills and the ability to draft letters and other documents</p>

<p>Reporting to the President, the Compliance and Risk Management Officer seeks to ensure compliance with all federal and state laws and regulations, as well as all company policies and procedures. He or she seeks to mitigate the risk of legal or regulatory sanctions, material financial loss or reputational harm to the company.</p>
<p>Responsibilities</p>
<p>1. Monitor laws and regulations for new provisions, disseminate pertinent information to managers and ensure affected operations are modified.</p>
<p>2. Implement any necessary additions or changes to company policies and procedures. Work closely with managers to review and update all policies and procedures at least annually.</p>
<p>3. Establish and monitor ongoing training programs to ensure compliance with federal and state laws and regulations, and company policies and procedures.</p>
<p>4. Develop and implement a master plan to review systems (processes) and controls in each area of the operation at least annually. Review steps to include:</p>
<p>• Identification of risks.</p>
<p>• Testing of transactions and documentation of results</p>
<p>• Preparation of report of findings and recommendations.</p>
<p>• Verification that agreed upon corrective actions are implemented.</p>
<p>5. Coordinate in-house pre-funding and outsourced post-funding QC process, including submitting monthly production data to the vendor, validating or disputing the results of the review, preparing summary reports to management, and ensuring implementation of agreed upon recommendations.</p>
<p>6. Conduct, at least quarterly, the edit check process for the company&#8217;s required HMDA reporting and ensure the data is error free prior to the annual filing deadline. Complete filing by March 1st deadline.</p>
<p>7. Research and coordinate responses to customer complaints received directly or through regulatory agencies or the BBB.</p>
<p>8. Serve as Information Security Officer, chair the Information Security Committee and coordinate compliance with the Privacy and Information Security Plan to minimize the risk that customer and company data is compromised.</p>
<p>9. Act as primary contact for regulatory exams. Coordinate the gathering of documentation requested by examiners. Draft responses to exams, with input from department managers as necessary. Ensure any agreed upon corrective actions are implemented.</p>
<p>10. Implement policies and procedures as necessary to mitigate risk in the area of employment. Ensure annual sexual harassment training occurs. Assist department managers in employee investigations and disciplinary procedures.</p>
<p>11. Review early disclosures for compliance with federal and state regulations, and work with vendors to make any necessary additions or changes.</p>
<p>12. Ensure company and loan officers are properly licensed in applicable states.</p>
<p>13. Oversee annual review and renewal of mortgage bankers bond, property and casualty insurance, and other insurance policies, ensuring adequacy of coverage to comply with regulatory requirements and appropriately mitigate risk.</p>
<p>14. Review all contracts and controls surrounding services performed by vendors. Monitor viability of vendors and prepare annual report regarding the same.</p>
<p>15. Develop Disaster Recovery Plan. Ensure plan elements are being carried out, including regular testing of the backup of critical data. Prepare quarterly report to management regarding the same.</p>
<p>Education, Experience and other Qualifications</p>
<p>1. Education &#8212; Bachelor&#8217;s Degree Required. Masters and/or Law Degree Preferred.</p>
<p>2. Experience &#8212; Significant experience in regulatory compliance and risk management, preferably in the mortgage banking or banking industry.</p>
<p>3. Well developed analytical and planning skills. Ability to build and implement processes, with attention to continuous improvement. Detail oriented.</p>
<p>4. Strong oral and written communication skills. Ability to write reports, correspondence, and policy and procedure manuals. Ability to effectively present information and respond to managers, staff, regulators and customers.</p>
<p>5. Strong work ethic. Self motivated and self sufficient in approach to work. Good organizational skills, time management skills and ability to multi-task.</p>
